NOTICE OF INCORPORATION OF

The above company was incorporated under Reg. No. 37082 and National ID. No. 10380526357 with Mashhad Real Estate and Deed Registration Office, and the founders signed the related books on October 28,2009. Summery of Declaration of the company is hereby published in Official Gazette and Resalat widely-circulated daily for public information.
1) Scope of the Company's Activity:
Take from and handle insurance agency of Iran Insurance Company and provide insurance services observing the rules of Establishment of Central Insurance of Iran, insurance affairs, approvals of insurance supreme council, instructions and contents of insurance agency contract.
2) Terms of the Company:
Company exits from the date of incorporation until such time as the company is dissolved.
3) Head Office of the Company:
No. 113, Between Honarestan 15th and 17th Sts., Mashhad, Khorassan Razavi Province
4) Capital of the Company:
Rls. 500,000,000 divided into 1000 registered shares of Rls. 500,000 each, of which Rls. 250,000,000 was paid by the founders as per certificate No. 190 dd. June 7, 2009 issued by Bank Melli, Pardis Branch and the rest is the shareholders' liability to pay.
5) Preliminary Directors of the Company:
the following persons were elected as members of the board for two years.
5-1) Mehdi Hakimi was appointed chair of the board;
5-2) Raheleh Asghari was appointed vice-chair of the board; 5-3) Elaheh Hakimi was elected member of the board;
5-4) Mehdi Hakimi was appointed managing director of the company.
6) Authorized Signatories:
All negotiable papers and binding documents and banking instruments of the company shall be valid only when having the seal of the company and signatures of managing director and one of the members of the board. Correspondence and ordinary papers will be valid when having seal of the company and signature of managing director of the company.
7) Scope of Power of the Managing Director :
will be as per articles of association of the company.
8) Principal and Alternate Auditors:
Bizhan Kahrabi was elected principal and Maryam Teimouri was ejected alternate auditors of the company.
